Job Description
We are seeking an attorney to join our dynamic and collaborative in-house Legal Department. In this high-profile, hands-on role you will report to Corporate/Commercial and will be responsible for providing counsel to a wide variety of client groups.
KEY RESPONSIBILITIES:
- Draft and negotiate commercial/transactional documents such as sales and purchasing contracts, IT contracts (e.g., software licenses, SaaS, consulting agreements), and real estate contracts (e.g., leases, licenses, easements, and purchase and sale agreements).
- Provide advice and counseling to internal clients on a wide array of construction related issues relating to the Company’s industrial footprint and high-profile equipment installation projects in various states.
- Draft, improve and update standard real estate, construction, and facilities management forms.
- Manage and coordinate outside counsel including review of critical documents, preparing an outside counsel budget, and monitoring same.
- Maintains a corporate culture with a high degree of emphasis on dignity, respect, and inclusion.
- May take lead on complex corporate transactions.
- May provide training and orientation, and co-ordinate the work of junior legal staff, paralegal and administrative staff.
- Carries out other duties as assigned.
- Juris Doctor and licensed to practice law in at least one state and in good standing is required.
- Prefer a minimum of five years’ experience involving complex commercial contracts including industrial construction projects and equipment installation work.
- Has advanced legal drafting skills and can handle complex drafting with speed and with accuracy. Can contribute to special drafting projects, including M&A activity. Applies independent judgment in determining courses of action required to perform assignments.
- Provides strategic counsel and legal advice and services primarily to management on legal problems of a difficult and complex nature, including emphasis on establishing policies that appropriately balance or mitigate legal risk.
- Arrives at logical conclusions and solutions by assertively approaching new or existing facts or circumstances; gathers information from sources within and outside the legal department, using it appropriately to solve problems or create new solutions. Analysis and recommendations routinely able to withstand critical consideration and scrutiny from senior legal leadership. Strong communication skills are required.
- Able to provide advice/recommendations to management. Consistently seeks out opportunities to support teammates and help others in the department through input or assistance; displays the ability to motivate teammates and colleagues in one-on-one situations.
- Works independently, with guidance in only the most complex situations; may lead functional teams or projects; acts as a resource for colleagues with less experience.
- Possesses sophisticated understanding of the laws and regulations relevant to day-to-day responsibilities.
- Strong ability to manage complex projects with interrelated deadlines and dependencies. Able to juggle and prioritize a large volume of work comfortably. Able to delegate effectively to junior and non-attorney resources.
- Comfortable knowing the appropriate level of effort needed to accomplish the intended objectives of various types of work.
- Able to keep stakeholders apprised of status and relative priorities.
- Must be familiar with legacy liability issues such as environmental and familiar with risk transfer concepts and insurance.
- Prefer experience with brown-field real estate transactions and mining properties, title transfer and recording of deeds, licenses, easements, rights of way and other property related recordable paper. Also prefer experience with mineral and mining rights.
- Environmental compliance, construction and development projects, zoning and land use matters experience desired. Prior mergers and acquisitions experience a plus.
- This position may be fully remote. Occasional travel required.
